PHOENIX - The Corporate Compliance Center, or CCC, is sending business owners official-looking papers to advertise their services in preparing annual meeting minutes for corporations. The solicitation, requesting payment of an $100.00 fee, looks very similar to the Arizona Corporation Commission's Corporation Annual Report & Certificate of Disclosure form. The Annual Report & Certificate of Disclosure MUST be filed for a corporation to maintain its corporate status. The Arizona Corporation Commission is NOT AFFILIATED in any way with the Corporate Compliance Center. Business owners and their representatives are NOT REQUIRED to file with the Corporate Compliance Center .The private firm making the solicitation uses a name that is substantially similar to that of the Arizona Corporation Commission. "The public needs to know that the service advertised is not the same as the Annual Report filing required by the Arizona Corporation Commission," explains Joanne MacDonnell, Director of the Corporations Division. "The CCC forms carry an official looking time deadline for filing and include the Arizona Corporation Commission number assigned to corporations. This is a serious issue for us every year - and a serious issue for all those companies that spend $100.00 for a service they do not need," she adds. The Arizona Corporation Commission forms are mailed to each corporation once per year and, according to MacDonnell, are easy to complete. MacDonnell wants to be sure the public is aware of this important issue. "The Commission is inundated with calls and mail each year from people who are confused by the two forms," she said. "We are issuing a public warning. This is a service you don't technically need. Save yourself the $80." MacDonnell noted that for the past three years, the Arizona Corporation Commission has included the following warning with every Annual Report packet the Commission sends out: WARNING: The Arizona Corporation Commission is not affiliated with "The Corporate Compliance Center (CCC). Watch out for their mailing. It is designed to mimic the look of the Commission's Annual Report Form. It is NOT an official government document and submitting money to this firm is not advised. |
